Terms of Service

Last updated: 16 March 2026

1. Acceptance of Terms

By accessing or using the ReguClear platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the platform.

2. Description of Service

ReguClear provides a cloud-based risk intelligence and compliance platform including KYC workflow, counterparty screening, macroeconomic risk analytics, and regulatory reporting tools ("the Service").

3. Subscription & Billing

Access to the Service requires a paid subscription. Fees are charged in advance on a monthly or annual basis. Downgrade or cancellation requests must be submitted before the next billing cycle. No refunds are issued for partial periods unless required by law.

4. Acceptable Use

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to reverse-engineer or scrape the platform; (c) share login credentials with third parties; (d) use the Service in a manner that overloads or disrupts infrastructure.

5. Data Ownership

You retain ownership of all data you input into the platform. You grant ReguClear a limited licence to process this data solely to provide the Service. We do not use your data to train AI models without explicit consent.

6. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party. This obligation survives termination of the agreement for 3 years.

7. Intellectual Property

All platform software, risk models, algorithms, and content are the exclusive intellectual property of ReguClear Technologies Ltd. Nothing in these Terms grants you any ownership right.

8. Disclaimers

The Service provides risk intelligence tools to support — not replace — professional judgement. ReguClear does not guarantee the accuracy of third-party data sources. Risk scores are indicative and should not be the sole basis for credit or compliance decisions.

9. Limitation of Liability

To the maximum extent permitted by law, ReguClear's total liability for any claim arising from use of the Service shall not exceed the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental losses.

10. Termination

Either party may terminate the agreement with 30 days written notice. ReguClear may terminate immediately for material breach, non-payment, or violation of acceptable use terms. Upon termination, you will have 30 days to export your data.

11. Governing Law

These Terms are governed by the laws of England & Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England & Wales, unless otherwise agreed in a separate enterprise agreement.
